    Payment terms

    Has a demo rule
    Preferred position
    Payment within 30 days of receiving the invoice, at most.
    Walk-away
    Any period over 30 days: flag it and revise to 30 days.
    Escalate to
    Finance director

    Preferred position
    السداد خلال 30 يوماً من تاريخ استلام الفاتورة كحد أقصى.
    Walk-away
    أي مدة تتجاوز 30 يوماً: يُنبَّه إليها وتُعدَّل إلى 30 يوماً.
  2. Medium

    Length of confidentiality

    Has a demo rule
    Preferred position
    Confidentiality lasts 3 years after the last disclosure or termination.
    Fallback
    5 years for trade secrets only.
    Walk-away
    Perpetual confidentiality for all information.

    Liability cap

    Has a demo rule
    Preferred position
    A clearly defined cap that applies equally to both parties: 12 months' fees.
    Fallback
    Mutual cap at 2x 12 months' fees.
    Walk-away
    Uncapped liability for us, or a cap that protects only the other party.
    Escalate to
    General counsel

    سقف محدد بوضوح يسري على الطرفين بالتساوي: أتعاب 12 شهراً.

    سقف متبادل بضعف أتعاب 12 شهراً.

    Governing law and jurisdiction

    Has a demo rule
    Preferred position
    The laws of the Kingdom of Bahrain, with the exclusive jurisdiction of the Bahraini courts.
    Fallback
    Arbitration seated in the Kingdom of Bahrain under the rules of the Bahrain Chamber for Dispute Resolution (BCDR).
    Walk-away
    A foreign governing law, or courts outside the GCC.
    Escalate to
    General counsel

    تطبيق قوانين مملكة البحرين، مع الاختصاص الحصري للمحاكم البحرينية.
    Fallback
    التحكيم في مملكة البحرين وفق قواعد غرفة البحرين لتسوية المنازعات.

    قانون أجنبي واجب التطبيق، أو محاكم خارج دول مجلس التعاون.
  5. High

    Late payment interest and penalties

    Has a demo rule
    Preferred position
    Reasonable compensation for late payment: simple (not compound) interest of no more than 6% a year, capped at 10% of the overdue amount, in line with the Bahrain commercial law principle against open-ended or excessive interest.
    Fallback
    A one-off late fee of up to 5% of the overdue amount.
    Walk-away
    Compounding interest, monthly rates, or any uncapped penalty.
    Escalate to
    Finance director

    Preferred position
    تعويض معقول عن التأخر في السداد: فائدة بسيطة غير مركّبة لا تتجاوز 6% سنوياً، بحد أقصى 10% من المبلغ المتأخر، انسجاماً مع مبدأ القانون التجاري البحريني في تجنّب الفوائد المفتوحة أو المفرطة.
    Fallback
    غرامة تأخير لمرة واحدة لا تتجاوز 5% من المبلغ المتأخر.
    Walk-away
    الفائدة المركّبة، أو النسب الشهرية، أو أي غرامة غير محددة السقف.
